Corporate Counsel - India

The main focus of this position will be a generalist, particularly for general corporate and commercial law. S/he will need to provide analysis and counsel on various legal and policy issues, anticipate and guard against legal risks facing the company, and develop and recommend company policy and position on legal issues.

The ideal candidate needs to be business savvy – i.e. someone who can put the legal advice and analysis in the context of real world problems and assist BorgWarner personnel in finding solutions to the problems and issues presented.

Position Accountabilities

  • Provide clear and concise legal counsel as a business partner on the full range of general corporate and commercial matters in India and across APAC, including mergers & acquisitions, commercial agreements, protecting intellectual property, nondisclosure agreements, outsourcing and other business agreements.
  • Familiarity with commercial matters in manufacturing industry, distributor relationships, warranty disputes, personal injury matters, environmental, insurance, etc.
  • Assist in implementation of the Company’s compliance and training programs, including FCPA anti-bribery and competition law.
  • Develop and recommend company policy and position on legal issues.
  • Supervise and assist outside counsel to represent the Company or its officials in various legal proceedings.
  • Write, review, and edit reports, opinions, correspondence, articles, and other documents.
  • Draft and administer complex vendor, client, and employment contracts.
  • Develop and recommend operating policy and procedural improvements.
  • Other duties as assigned.

Job Requirements and Qualifications

Education and Experience (Minimum Qualifications)

  • Knowledge and experience of the global automotive industry is preferred.
  • Completion of a legal degree from an accredited law school.
  • 10 or more years of experience in a corporate law department or private law firm desired
  • Requires an international or global perspective.
  • Requires license to practice law in India. 
  • Self-starter who is capable of independent function, yet works well in a team atmosphere.
  • Strong interpersonal and communication skills.
  • Fluent and able to conduct business in English and Indian local languages
